Mumbai (Maharashtra) [India], September 12: <\/strong>Indiabulls Limited, formerly known as Yaari Digital Integrated Services Limited, has entered into a definitive agreement to acquire a 70% stake in Fintech Cloud Private Limited for a consideration of \u20b91,050 crore, according to a regulatory filing dated September 11, 2026.<\/p>\n

The transaction values Fintech Cloud at an equity valuation of \u20b91,500 crore. The proposed acquisition will be undertaken through an NCLT-approved scheme involving Indiabulls and the shareholders holding the 70% stake in the target company.<\/p>\n

Acquisition to Expand Presence in Fintech<\/p>\n

Fintech Cloud Private Limited operates as a Loan Service Provider (LSP) for various regulated entities and provides technology-enabled solutions and support for loan origination, underwriting and servicing to NBFCs.<\/p>\n

According to the filing, the company reported gross revenue of \u20b9133.77 crore and profit before tax (PBT) of \u20b930.31 crore in FY2025-26.<\/p>\n

Indiabulls said the acquisition will enable it to enter the fintech segment through a business providing technology solutions to NBFCs.<\/p>\n

Deal to Be Settled Through Share Issuance<\/p>\n

The \u20b91,050-crore consideration will not be paid entirely in cash. The transaction will be settled through the issuance of up to 21 crore fully paid-up equity shares of Indiabulls Limited to the shareholders holding the 70% stake in Fintech Cloud.<\/p>\n

The share issuance will be carried out pursuant to an NCLT-approved scheme and will remain subject to applicable pricing regulations, including SEBI ICDR regulations and other applicable regulatory requirements.<\/p>\n

The acquisition represents 70% of Fintech Cloud\u2019s equity value, with the disclosed cost of acquisition standing at \u20b91,050 crore.<\/p>\n

Regulatory Approvals Required<\/p>\n

The proposed transaction will require approvals from the National Company Law Tribunal (NCLT), SEBI and the stock exchanges, along with other applicable regulatory and shareholder approvals.<\/p>\n

Indiabulls expects the acquisition process to be completed within approximately 9\u201312 months.<\/p>\n

Majority Board Control<\/p>\n

Following the transaction, Indiabulls will acquire a 70% stake in Fintech Cloud and will have the right to appoint the majority of directors on the target company\u2019s board with immediate effect.<\/p>\n

The filing also states that the proposed acquisition does not constitute a related-party transaction, and that the promoter, promoter group and group companies of Indiabulls do not have any interest in the target entity.<\/p>\n

Fintech Cloud\u2019s Financial Performance<\/p>\n

Fintech Cloud was incorporated on January 11, 2021, and operates in India as a technology solutions provider to the regulated NBFC sector.<\/p>\n

The company\u2019s disclosed turnover was nil in FY2023-24 and FY2024-25, before rising to approximately \u20b9133.77 crore in FY2025-26.<\/p>\n
